These Terms & Conditions (the “Terms”) govern your access to and use of the website located at vifros.com and any related pages, content, and services we make available (collectively, the “Site”), operated by Vifros Corp (“Vifros”, “we”, “us”, or “our”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Acceptance of the Terms
By accessing, browsing, or otherwise using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. You represent that you are at least 18 years old and have the legal capacity and authority to enter into these Terms, including on behalf of any entity for which you act.
2. The Site and Our Services
The Site provides general information about Vifros’s software engineering and cloud services. Nothing on the Site constitutes a binding offer, professional advice, or a guarantee of any particular result. Any engagement for services is subject to a separate written agreement executed by both parties (a “Services Agreement”). In the event of any conflict between these Terms and a signed Services Agreement, the Services Agreement controls with respect to that engagement.
3. Intellectual Property
The Site and all of its contents — including text, graphics, logos, the “V” mark and Vifros name, illustrations, code, design, and the selection and arrangement thereof — are owned by or licensed to Vifros and are protected by United States and international intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your own internal, non-commercial use. You may not copy, reproduce, modify, distribute, publicly display, create derivative works from, scrape, or otherwise exploit any part of the Site without our prior written consent.
4. Acceptable Use
You agree that you will not, and will not permit any third party to:
- use the Site for any unlawful, fraudulent, or unauthorized purpose;
- attempt to gain unauthorized access to the Site, its servers, or related systems or networks;
- interfere with, disrupt, or impose an unreasonable load on the Site or its infrastructure;
- introduce viruses, malware, or any malicious or harmful code;
- harvest or collect information about other users, or use automated means to access the Site; or
- infringe the intellectual property, privacy, or other rights of Vifros or any third party.
5. Your Submissions
If you submit information through the Site (for example, via our contact form), you represent that the information is accurate and that you have the right to provide it. You grant us a worldwide, royalty-free license to use such submissions for the purpose of responding to you and operating our business. Do not submit confidential or sensitive information through the Site; any unsolicited submission is provided on a non-confidential basis.
6. Third-Party Links and Services
The Site may contain links to, or rely on, third-party websites and services (such as our form-handling and hosting providers). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their terms and policies.
7. Disclaimer of Warranties
The Site is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. To the fullest extent permitted by law, Vifros disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, or current.
8. Limitation of Liability
To the fullest extent permitted by law, in no event shall Vifros or its officers, directors, employees, contractors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or related to your use of (or inability to use) the Site, whether based in contract, tort, strict liability, or any other theory, even if advised of the possibility of such damages. In no event shall our total aggregate liability arising out of or relating to the Site exceed one hundred U.S. dollars (US $100.00). Some jurisdictions do not allow certain of these limitations, so some may not apply to you.
9. Indemnification
You agree to indemnify, defend, and hold harmless Vifros and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your use of the Site, your submissions, or your breach of these Terms or any applicable law.
10. Dispute Resolution; Notice, Arbitration & Class-Action Waiver
Please read this section carefully — it affects your legal rights.
10.1 Mandatory Written Notice of Dispute
Before initiating any arbitration or proceeding, you must first give us a written Notice of Dispute. The notice must be sent in writing by email and/or by fax to the addresses below, and must describe the nature and basis of the dispute and the specific relief sought:

You and Vifros agree to use good-faith efforts to resolve the dispute informally for a period of thirty (30) days from the date the Notice of Dispute is received. No party may commence arbitration until that period has expired.
10.2 Binding Arbitration
If the dispute is not resolved within the 30-day period, it shall be finally resolved by binding individual arbitration administered in Duval County, Florida, in the English language, under the applicable commercial arbitration rules of a recognized arbitration provider. Judgment on the award may be entered in any court of competent jurisdiction. This Section is governed by the Federal Arbitration Act.
10.3 Class-Action Waiver
All claims must be brought in the parties’ individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person’s claims and may not preside over any form of representative or class proceeding. You and Vifros waive any right to a jury trial.
10.4 Exceptions
Either party may bring an individual action in small-claims court, and either party may seek injunctive or equitable relief in a court located in Duval County, Florida to protect its intellectual property or confidential information.
11. Governing Law and Venue
These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. Subject to the arbitration provisions above, you agree that the exclusive venue for any permitted court proceeding shall be the state or federal courts located in Duval County, Florida, and you consent to their personal jurisdiction.
12. Changes to the Site and These Terms
We may modify or discontinue the Site, or update these Terms, at any time and at our sole discretion. Revised Terms become effective when posted, as indicated by the “Last updated” date above. Your continued use of the Site after changes are posted constitutes your acceptance of the revised Terms.
13. General
These Terms, together with our Privacy Policy and any applicable Services Agreement, constitute the entire agreement between you and Vifros regarding the Site. If any provision is held unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be enforced to the maximum extent permissible. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them freely. Headings are for convenience only.
